About our charity:

The Clitheroe Royal Grammar School Foundation is a Charitable Incorporated Orgnaisation (CIO), registered charity; No. 1174177 (England and Wales).

The purpose of the charity is to hold, on trust, the centuries-old permanent endowment of Clitheroe Royal Grammar School, which dates back to 29 August 1554 and the Letters Patent of King Philip and Queen Mary. These Letters Patent not only established the Free Grammar School of Queen Mary in Clitheroe, but also gifted lands and tithes in and around Skipton and Almondbury in Yorkshire, thereby funding the School such that it was "to be and to continue for ever".

The Trustees of the Clitheroe Royal Grammar School Foundation, in common with their predecessors over the past four and a half centuries, have no powers to spend any of the School’s permanent endowment. They do, however, apply the net income (interest, rents etc.) derived from it solely in accordance with the objects of the charity defined in the “Public Benefit” section below.

The Clitheroe Royal Grammar School Foundation was incorporated on 8 August 2017 as the successor to the unincorporated charitable trust. All of the assets, liabilities and undertakings of the unincorporated trust were transferred to the new CIO under the terms of an Order of the Charity Commission dated 20 September 2017. This process was completed through a Transfer Agreement and Vesting Declaration on 8 February 2018, after which the unincorporated trust (Charity No. 526597) was dissolved and removed from the Charity Commission register.

The Clitheroe Royal Grammar School Foundation is governed by a Board of Trustees. Currently this is made up of five Appointed Trustees and two Nominated Trustees. Of the Nominated Trustees, one is nominated by the Parent Governors of Clitheroe Royal Grammar, and the other by the Ribble Valley Borough Council.

Public Benefit

The Trustees of the Foundation have complied with their duty (set out in section 4 of the Charities Act 2011) to have due regard to the public benefit guidance published by the Charity Commission. The Foundation exists solely to support the educational work of Clitheroe Royal Grammar School through the following objects:

1) Providing for the School such special benefits of any kind not normally provided by governmental or other public funds or provided as part of the normal running costs of the School as may from time to time be agreed between the School’s Governing Body and the charity trustees.

2) Otherwise promoting the education (including social and physical training) of persons who are pupils of the School, or former such pupils under the age of 25 years, who are in need of financial assistance.

In the event that the School is discontinued, and the above objects can therefore no longer be achieved, then the object of the charity shall be to promote the education of persons under the age of 25 years who are resident in the Ribble Valley Borough Council district and in need of financial assistance.

In meeting the objects of the Foundation all of the Trustees recognise that, under Charity Law in England and Wales, they have a statutory duty in their decision making to act solely in the best interests of the beneficiaries of the charity and are not on the Board to represent the interests of any third party.

Aims and Activities

The fundamental aim of the Trustees of the Clitheroe Royal Grammar School Foundation is to advance the education of its beneficiaries, namely the students and former students of Clitheroe Royal Grammar School.

The Trustees of the Foundation seek to achieve this aim, and to fulfill their statutory obligations described in their Public Benefit statement above;

Firstly, by managing the diverse investment portfolio that represents the School’s permanent endowment, increasing its value as and when opportunities arise; and

Secondly, by applying the income derived from these investments to make donations to the School in respect of Object 1 and grants to individual students and their parents in respect of Object 2.

In carrying out these duties, the Trustees of the Foundation have no powers to spend any of the permanent endowment entrusted to them. Consequently, the sale of any asset can only be done with a view to increasing the overall value of the endowment itself through re-investment of any monies raised, for the benefit of future generations of Clitheroe Royal Grammar School students.

Relationship with the School of the Charity

The School of the Charity is Clitheroe Royal Grammar School, a selective 11 to 16 grammar school with an open access sixth form. Clitheroe Royal Grammar School is a stand-alone academy whose academy trust (Clitheroe Royal Grammar School) is a company limited by guarantee and an exempt charity (Company Number: 07461173). This hybrid nature means that the Governors of the School are also the Directors of the company as well as the Trustees of the exempt charity, all of which have the same name. The objects of this exempt charity are simply:

To advance for the public benefit education in the United Kingdom, in particular but without prejudice to the generality of the foregoing by establishing, maintaining, carrying on, managing and developing a school offering a broad and balanced curriculum.

The Governors/Trustees of the School fulfill this object by running Clitheroe Royal Grammar School using the public funds given to it, primarily in the form of its General Annual Grant from the Department for Education. In other words, a primary role of the Governors/Trustees of Clitheroe Royal Grammar School is to manage the Public Funds of the School.

On the other hand, The Clitheroe Royal Grammar School Foundation CIO (Charity Number: 1174177) exists solely to hold and manage, on trust, the centuries-old permanent endowment of the School (i.e. the Private Funds of the School); the present value of which is represented by land in Clitheroe (Highmoor Farm) and a balanced investment portfolio.

While both charities exist to further the education of the students at Clitheroe Royal Grammar, it should be noted that they do this it completely different and separate ways.

Consequently, the Governors/Trustees of Clitheroe Royal Grammar School have no influence whatsoever in the decisions made by the Trustees of the Clitheroe Royal Grammar School Foundation. Equally the Trustees of the CRGS Foundation have absolutely no say in the operation of the School itself, and in particular have no influence over the curriculum taught.

Under the Articles of Association of Clitheroe Royal Grammar School, the trustees of the Clitheroe Royal Grammar School Foundation have the right to appoint up to five Foundation Governors to the Governing Body of the School. These five Governors are appointed, in common with every other school governor, in their own right as individuals and are not appointed  to represent any views or interests of the Trustees of the Foundation.
